Terms and Conditions of Use

PLEASE READ THIS AGREEMENT CAREFULLY. This is a binding contract between you and Dendro Education LLC, a limited liability company organized in the United States ("Dendro," "we," "us," or "our"). These Terms and Conditions of Use ("Terms") govern your access to and use of Dendro's websites, applications, platforms, and services, including any content, features, or functionality offered through them (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you are using the Services on behalf of an institution or other entity, you represent that you have authority to bind that entity to these Terms.

Changes to the Terms

We may modify these Terms from time to time. Updated Terms will be posted on the Services, and your continued use after posting constitutes acceptance of the revised Terms.

The Services

Dendro provides an AI-powered medical education platform that transforms recordings and other educational inputs into learning materials such as summaries, flashcards, and assessment questions. The Services are intended for educational purposes only and do not provide medical advice or clinical decision-making support.

Account Registration

Certain features may require account registration. You agree to provide accurate information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

Intellectual Property

All rights, title, and interest in and to the Services, including software, models, content, trademarks, and logos, are owned by Dendro or its licensors. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services or any content.

User Content

You retain ownership of content you submit to the Services, including recordings or materials uploaded for processing ("User Content"). By submitting User Content, you grant Dendro a non-exclusive, royalty-free, worldwide license to use, process, store, and display such content solely to provide and improve the Services.

You represent that you have all necessary rights and permissions to submit User Content and that doing so does not violate any law, institutional policy, or third-party rights.

Prohibited Uses

You agree not to misuse the Services, including by attempting to access systems without authorization, interfering with platform functionality, submitting unlawful or infringing content, or using the Services in a manner that violates applicable laws or regulations.

Educational and Regulatory Context

You acknowledge that the Services may be used in regulated environments such as medical schools and healthcare systems. You are responsible for ensuring that your use complies with institutional policies, privacy requirements, and applicable laws, including those relating to patient information.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DENDRO DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Limitation of Liability

To the maximum extent permitted by law, Dendro shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Services. Dendro's total liability shall not exceed the amount paid by you to Dendro in the six months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Dendro and its members, officers, employees, and affiliates from any claims, damages, or expenses arising out of your use of the Services or violation of these Terms.

Governing Law and Venue

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in New York County, New York.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other lawful reason. Upon termination, your right to use the Services will cease.
